Final result of Spa Holdings 3 Oy’s public tender offer for all the shares in Ahlstrom-Munksjö Oyj: Spa Holdings 3 Oy completes the tender offer by waiving the minimum acceptance condition and commences a subsequent offer period

On October 22, 2020, Spa Holdings 3 Oy (the “Offeror”) commenced a voluntary public cash tender offer to acquire all of the issued and outstanding shares in Ahlstrom-Munksjö Oyj (“Ahlstrom-Munksjö” or the “Company”) that are not held by Ahlstrom-Munksjö or any of its subsidiaries (the “Shares” or, individually, a “Share”) (the “Tender Offer”). The offer period for the Tender Offer commenced on October 22, 2020, at 9:30 a.m. (Finnish time) and expired on January 14, 2021, at 4:00 p.m. (Finnish time). Spa (BC) Lux Holdco S.à r.l. (“Bain Luxco”) (a vehicle owned and controlled by funds managed or advised by Bain Capital Private Equity (Europe), LLP, and/or its affiliates (together “Bain Capital” and such funds being the “Bain Capital Funds”)), Ahlstrom Invest B.V. (“Ahlstrom Capital”), Viknum AB (“Viknum”) and Belgrano Inversiones Oy (“Belgrano Inversiones”) form a consortium (the “Consortium”) for the purposes of the Tender Offer.

According to the final result of the Tender Offer, the Shares validly tendered and accepted in the Tender Offer (including the Shares received by Ahlstrom Capital as a result of the internal reorganization involving certain Ahlström family members and certain related entities), together with the total of 345,524 Shares acquired by the Offeror through market purchases, represent approximately 81.0 per cent of all the Shares and voting rights carried by the Shares in Ahlstrom-Munksjö.

According to the terms and conditions of the Tender Offer, the completion of the Tender Offer is subject to, among other things, the fulfilment or waiver by the Offeror of the condition that the Tender Offer has been validly accepted with respect to Shares representing, together with any Shares otherwise held by the Offeror prior to the date of the announcement of the final result of the Tender Offer, on a fully diluted basis more than ninety (90) per cent of the Shares and voting rights of the Company calculated in accordance with Chapter 18, Section 1 of the Finnish Companies Act (624/2006, as amended, the “Finnish Companies Act”) (the “Minimum Acceptance Condition”).

As the final result confirms that the Tender Offer has been validly accepted with respect to Shares representing, together with any Shares otherwise held by the Offeror, on a fully diluted basis more than seventy-five (75) per cent of the Shares and voting rights of the Company calculated in accordance with Chapter 18, Section 1 of the Finnish Companies Act, the Offeror has decided to waive the Minimum Acceptance Condition. As the Minimum Acceptance Condition has been waived and all other conditions to completion have been fulfilled, the Offeror will complete the Tender Offer in accordance with its terms and conditions.

The offer price will be paid to each shareholder of Ahlstrom-Munksjö who has validly accepted the Tender Offer in accordance with the terms and conditions of the Tender Offer, on or about February 4, 2021 with regard to Shares registered with Euroclear Finland Oy and on or about February 5, 2021 with regard to Shares registered with Euroclear Sweden AB. The offer price will be paid in accordance with the payment procedures described in the terms and conditions of the Tender Offer.

In order to provide the remaining shareholders of Ahlstrom-Munksjö the possibility to also accept the Tender Offer, the Offeror has decided to commence a subsequent offer period in accordance with the terms and conditions of the Tender Offer (the “Subsequent Offer Period”). The Subsequent Offer Period will commence on January 21, 2021 at 9:30 a.m. (Finnish time) and expire on February 4, 2021 at 4:00 p.m. (Finnish time). During the Subsequent Offer Period, the Tender Offer can be accepted in accordance with the acceptance procedure described in the terms and conditions of the Tender Offer. All acceptances will be binding and cannot be withdrawn. Further instructions can be obtained from the relevant account operator or asset manager or Nordea Bank Abp. Please note, however, that Nordea Bank Abp will not be engaging in communications relating to the Tender Offer with shareholders located within the United States.

The Offeror will announce the preliminary percentage of the Shares validly tendered during the Subsequent Offer Period on or about February 5, 2021 and the final percentage on or about February 9, 2021. The offer price for the Shares validly tendered during the Subsequent Offer Period will be paid to the shareholders on or about February 10, 2021 with regard to Shares registered with Euroclear Finland Oy and on or about February 11, 2021 with regard to Shares registered with Euroclear Sweden AB in accordance with the payment procedures described in the terms and conditions of the Tender Offer. The actual time of receipt of the payment by tendering shareholders will depend on the schedule for payment transactions between financial institutions. As regards Shares registered with Euroclear Sweden AB, if the cash account linked to the book-entry account has been closed, the shareholder who has validly accepted the Tender Offer will receive a check.

As communicated earlier, the Offeror’s intention is to apply for the shares in Ahlstrom-Munksjö to be delisted from Nasdaq Helsinki Ltd (“Nasdaq Helsinki”) and from Nasdaq Stockholm AB (“Nasdaq Stockholm”), respectively, as soon as permitted and reasonably practicable under the applicable laws and regulations and the rules of Nasdaq Helsinki and Nasdaq Stockholm. If the Offeror’s holdings in Ahlstrom-Munksjö will exceed ninety (90) per cent of the Shares and voting rights of the Company after the settlement of the Shares tendered in the Tender Offer, the Offeror will initiate compulsory redemption proceedings to acquire the remaining Shares in accordance with the Finnish Companies Act.

The Offeror, Bain Luxco, Ahlstrom Capital, Viknum and Belgrano Inversiones may each continue to acquire Shares on or after the date of this stock exchange release in public trading on Nasdaq Helsinki, Nasdaq Stockholm or otherwise.
